Terms of Service

These Terms govern your use of the YouFi closed-alpha website and service at youfi.io, operated by YouFi Ltd, a company registered in England and Wales under number 12931597, with its registered office at 57 Westbourne Terrace, Reading, RG30 2RP, United Kingdom ("YouFi", "we", "us"). By using the service, you agree to these Terms.

Plain-English summary (this paragraph is for orientation; the binding terms are below): YouFi is a software tool, not financial advice. It is in closed alpha; we can revoke access at any time. Trading cryptocurrencies carries the risk of total loss. You are responsible for your own decisions, your own wallet, and your own taxes.

01About YouFi

YouFi is a software tool that helps users design, backtest, and (in future product phases) paper-trade or sign on-chain transactions for cryptocurrency trading strategies. YouFi is non-custodial: we never hold your funds, your private keys, or your wallet seed.

YouFi is not a broker, dealer, investment adviser, asset manager, money-services business, or any other regulated financial intermediary. We are a software company.

02Eligibility

To use YouFi, you confirm that you are:

03Alpha access

YouFi is currently in closed alpha. Access is by invitation only and may be revoked by us at any time, with or without cause, with reasonable notice (typically to your registered email address) except where immediate revocation is necessary to protect security, comply with law, or address a material breach of these Terms.

YouFi and its software, code, designs, content, copy, and trademarks are owned by YouFi Ltd and are protected by UK, EU, and international intellectual property law. These Terms do not transfer any IP rights to you.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the service for personal, non-commercial purposes during your alpha access. The licence ends when your access ends.

You retain ownership of any trading strategy you create using YouFi. Submitting content (such as a strategy description in the agent chat) grants us a worldwide royalty-free licence to process that content as needed to operate the service — but only for that purpose.

Your email address is personal data, not user-generated content, and is handled under our Privacy Policy.

06Not financial advice

Nothing on YouFi constitutes investment advice, financial advice, tax advice, legal advice, or a personal recommendation to buy, sell, or hold any asset.

YouFi is an informational and educational software tool. The strategies, backtest results, paper-trading simulations, and AI-generated suggestions you see are produced by software based on inputs you provide. They are not a "personal recommendation" within the meaning of Article 4(1)(4) of MiFID II (Directive 2014/65/EU), nor do they constitute investment advice or arranging deals in investments within the meaning of Articles 53 and 25 of the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001 (SI 2001/544).

Decisions about whether and how to trade are yours alone. If you need investment, tax, or legal advice, consult a qualified professional in your jurisdiction.

YouFi Ltd is not authorised by the UK Financial Conduct Authority (FCA) and is not registered as a UK cryptoasset firm under the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 ("MLR 2017"). We make no representation, promise, or guarantee about the financial outcome of any strategy you build, backtest, paper-trade, or execute using YouFi.

08Disclaimers and warranties

To the maximum extent permitted by English law (and, where you are an EU/EEA consumer, applicable EU consumer law), the YouFi service is provided "as is" and without warranty of any kind, whether express, implied, or statutory, including (without limitation) any implied terms of satisfactory quality, fitness for a particular purpose, accuracy, non-infringement, or availability.

You may stop using the service at any time. You may request account deletion via the contact details in Section 13 or our Privacy Policy.

We may suspend or terminate your access to the service:

Sections 5 (IP), 6 (Not financial advice), 7 (No outcome guarantees), 8 (Warranties), 9 (Liability), 11 (Law), and 13 (Contact) survive termination.

11Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by the laws of England and Wales. The courts of England and Wales shall have non-exclusive jurisdiction.

UK consumer rights: Nothing in these Terms affects your statutory rights as a consumer under the Consumer Rights Act 2015 or any other mandatory UK consumer law.
EU/EEA consumer override: If you are an EU/EEA consumer, mandatory consumer protection rules of your country of residence apply, and Articles 17–19 of Regulation (EU) 1215/2012 (Brussels Ia) — as applied by EU courts — give you the right to bring proceedings against us in the courts of your country of residence. Nothing in these Terms limits that right or the mandatory consumer protection of your home country.

For online dispute resolution, EU/EEA consumers may use the EU Commission's ODR platform at ec.europa.eu/consumers/odr. Our contact email address for ODR purposes (as required by Regulation (EU) 524/2013 Art. 14(1) for traders directing services at EU consumers) is [email protected].

12Changes to these Terms

We may update these Terms as the YouFi alpha evolves. Material changes will be notified to you by email (where you have a registered account) or by a notice on youfi.io, in each case at least 14 days before they take effect, unless a faster change is required by law or to address a security risk.

Continuing to use YouFi after a change takes effect means you accept the updated Terms. If you do not accept the updated Terms, stop using the service before the effective date.
